Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Closiq Inc. ("Closiq", "we", "us", or "our") governing your access to and use of our website, platform, and services. By accessing or using our services, you agree to be bound by these Terms.

Use of Services

Subject to your compliance with these Terms, Closiq grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use our services. You may not:

• Use the services for any unlawful purpose or in violation of any applicable regulations
• Reproduce, distribute, modify, or create derivative works of our platform or content without express written consent
• Attempt to gain unauthorised access to any portion of the services or related systems
• Interfere with or disrupt the integrity or performance of the services
• Scrape, crawl, or use automated means to extract data from our platform

Account Registration

To access certain features of our services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

Subscription and Payment

Closiq offers subscription-based services billed on a monthly or annual basis. By subscribing, you authorise Closiq to charge your designated payment method for the applicable fees. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to modify our pricing with at least 30 days' prior notice. Continued use of the services after a price change constitutes acceptance of the new pricing.

Intellectual Property

All content, features, and functionality of the Closiq platform, including but not limited to software, text, graphics, logos, and AI models, are the exclusive property of Closiq Inc. and are protected by applicable intellectual property laws.

You retain ownership of any data you provide to us. By using our services, you grant us a limited licence to use your data solely to provide and improve the services.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party and to use such information solely for the purposes of performing under these Terms.

Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. Closiq does not warrant that the services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by applicable law, Closiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the services, even if we have been advised of the possibility of such damages.

Termination

Either party may terminate this agreement at any time. Closiq reserves the right to suspend or terminate access to the services immediately if you violate these Terms. Upon termination, your right to use the services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of [Province], Canada, without regard to its conflict of law provisions.

Changes to Terms
